Welcome to Exotic Expenditures, LLC ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of the Exotic Expenditures website located at exoticexpenditures.com (the "Site") and, if applicable, your application for and participation in our social fund collective.

Please read these Terms carefully. By accessing or using our Site, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site.

Exotic Expenditures is a social fund organized as an LLC for a group of friends to pool resources for extraordinary experiences. We are not a traditional business that offers products or services to the general public. These Terms apply to both website visitors and, where applicable, to members of our collective.

Website Use

Permitted Use: You may use our Site for lawful purposes and in accordance with these Terms. The Site is primarily informational, allowing interested individuals to learn about our collective and potentially apply for membership.

Prohibited Uses: You agree not to use the Site:

• In any way that violates applicable laws or regulations
• To transmit or procure the sending of any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate us, our members, or any other person or entity
• To engage in any activity that interferes with or disrupts the Site or servers and networks connected to the Site
• To attempt to gain unauthorized access to the Site, user accounts, computer systems, or networks connected to the Site
• To introduce any viruses, Trojan horses, worms, logic bombs, or other harmful material

Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Exotic Expenditures, LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for informational purposes. You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on our Site, except as incidental to normal web browsing
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site

WE DO NOT WARRANT THAT THE SITE AND ITS CONTENTS WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

Indemnification

You agree to defend, indemnify, and hold harmless Exotic Expenditures, LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, members, managers, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

Membership Terms

This section applies only to individuals applying for or participating in our collective:

Application Process: Submitting an application for membership does not guarantee acceptance. All applications are reviewed by current members, and decisions are at our sole discretion.

Membership Agreement: If accepted as a member, you will be required to sign our separate Membership Agreement and Operating Agreement, which contain additional terms governing your participation in our collective.

Financial Contribution: Membership requires monthly financial contributions as specified in our Membership Agreement. Failure to make timely contributions may result in termination of membership.

Participation: Members are expected to participate in decision-making processes and attend a reasonable number of events and meetings as outlined in our Membership Agreement.

No Guarantee of Experiences: While we work to create extraordinary experiences, we cannot guarantee specific events, activities, or outcomes. All collective decisions about expenditures are made according to the voting procedures in our Operating Agreement.

Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

For members of our collective, termination of membership is governed by the separate Membership Agreement and Operating Agreement.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of [State], although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them.

Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
